Terms and Conditions

1. Who these terms are with

These terms are between you and Verolyn Labs (“Verolyn Labs”, “we”, “us”). They apply to every order placed through verolynlabs.com and, together with the Research Use Only Disclaimer, form the entire agreement between us in respect of that order.

2. Eligibility

You may order only if you meet the purchaser qualification conditions in the Research Use Only Disclaimer. We may request evidence of institutional affiliation before accepting an order, and may decline an order where that evidence is not provided.

3. Orders and acceptance

Your order is an offer to buy. No contract exists until we send written confirmation that the order has been accepted and dispatched. We may decline any order, in whole or in part, without stating a reason.

Where an item is listed in error — including an incorrect price or specification — we may cancel the affected part of the order and refund any amount already taken.

4. Pricing and payment

Prices are shown in United States dollars and exclude taxes, duties and shipping unless stated otherwise at checkout. Payment is taken at the time the order is placed. Import duties and taxes levied in the destination country are the responsibility of the purchaser.

5. Delivery and title

Delivery timescales are given in good faith and are estimates, not guarantees. Risk in the goods passes to you on delivery to the address you supply. Title passes on receipt of payment in full.

6. Permitted use

Materials are supplied for laboratory research use only, on the terms of the Research Use Only Disclaimer. Any use outside those terms is a material breach of this agreement and terminates it immediately.

You may not resupply, resell, relabel or otherwise transfer material to a third party without our prior written consent.

7. Specifications and certificates of analysis

Each batch is supplied with a certificate of analysis published on this site. The certificate describes the material as tested at the time of release, under the methods stated on it.

Analytical values apply to the material as supplied and as stored under the conditions stated on the certificate. We are not responsible for degradation resulting from storage or handling after delivery.

8. Warranties

We warrant that, at the time of dispatch, material conforms to the certificate of analysis published for its batch. That is the only warranty we give.

To the fullest extent permitted by law, all other warranties, conditions and terms — whether express, implied or statutory, including any implied warranty of merchantability or fitness for a particular purpose — are excluded. No warranty of fitness for any use in humans or animals is given, because no such use is permitted.

9. Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited.

Subject to that, our total liability arising out of or in connection with any order is limited to the amount paid for the affected goods. We are not liable for loss of profit, loss of data, loss of research output, or any indirect or consequential loss.

We are not liable for any loss arising from use of material in a manner prohibited by the Research Use Only Disclaimer.

10. Indemnity

You agree to indemnify Verolyn Labs against any claim, loss, liability or cost arising from your use, storage, handling, resupply or disposal of material supplied by us, or from your breach of these terms.

11. Intellectual property

All content on this site, including research summaries, photography and the presentation of analytical data, remains the property of Verolyn Labs. Certificates of analysis may be reproduced in full for research documentation purposes, provided they are not altered or presented in part.

12. Governing law

These terms are governed by the laws of the State of North Carolina, United States, and the courts of that state have exclusive jurisdiction over any dispute arising from them.

13. Changes to these terms

We may revise these terms. The version in force is the version published on this page at the time your order is accepted, and the effective date above records when it took effect.
